These Terms & Conditions apply to the supply of goods and services by Equipio Tech Ltd, a private limited company registered in England and Wales, whose registered office is at 3A Lansdown Road, Manchester, M8 5SF, United Kingdom (“we”, “us”, “our”) to business customers (“you”), and to your use of this website. Please read them carefully. By placing an order or using our website, you agree to these terms.
Part A — Terms of supply
1. Business customers
We sell mainly to businesses and organisations. If you are buying as a consumer, some of these terms may not apply to you, and your statutory rights, including those under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, are not affected.
2. Quotations and orders
- Quotations are valid for 30 days unless stated otherwise, and depend on stock being available.
- A contract is formed only when we confirm your order in writing (including by email).
- We may decline an order at our discretion. If we cannot supply a product, we will tell you and refund any payment made for it.
- If a product is discontinued or unavailable, we may offer an equivalent alternative. We will only supply it if you approve it.
3. Prices and payment
- Prices are in pounds sterling (GBP) and exclude VAT and delivery charges unless stated otherwise. VAT is charged where applicable at the current rate.
- New customers may be asked to pay in full before dispatch. Customers with an approved trade account must pay within the credit terms agreed in writing, normally 30 days from the invoice date.
- If payment is late, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and we may suspend further deliveries.
- We may correct obvious pricing errors before we accept your order.
4. Delivery
- We deliver to business addresses in the United Kingdom, and to Europe by arrangement. Deliveries outside the UK may be subject to additional shipping charges, import duties and taxes, which are confirmed in your quotation. Delivery dates are estimates, and time of delivery is not essential unless we agree otherwise in writing.
- You must check deliveries on arrival and note any visible damage on the courier's paperwork. Report any damage, shortages or wrong items to us within 5 working days of delivery.
- We are not liable for delays caused by events beyond our reasonable control (see clause 10).
5. Risk and ownership
Risk in the goods passes to you on delivery. Ownership of the goods (title) passes to you only once we have received payment in full. Until then, you must keep the goods separately identifiable and insured.
6. Warranty
- New products come with the manufacturer's standard warranty, and we pass on its benefit to you. Warranty claims are handled under the manufacturer's terms, and we will help you make them.
- Warranties do not cover damage caused by misuse, accidents, unauthorised repairs, normal wear and tear, or software and data issues.
- You are responsible for backing up your data before returning any equipment.
7. Returns
Returns are handled in line with our Returns Policy, which forms part of these terms.
8. Equipment collection and recycling
When we arrange collection of old equipment, you must make sure you have the right to dispose of it. Data destruction and recycling are carried out by specialist third-party providers, and we will pass on any certificates they issue. You remain responsible for removing any data you need to keep before collection.
9. Limitation of liability
- Nothing in these terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited by law.
- Subject to the above, we are not liable for any loss of profit, revenue, business, data or goodwill, or for any indirect or consequential loss.
- Subject to the above, our total liability under any contract is limited to the price paid for the goods or services concerned.
10. Events beyond our control
We are not responsible for delays or failures caused by events beyond our reasonable control, such as supply shortages, manufacturer delays, transport disruption, extreme weather, industrial action or failures of utilities or networks.
